1. Acceptance of Terms

By accessing or using the HonestFeedback platform (the “Platform”), you agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Platform.

HonestFeedback, Inc. (“HonestFeedback,” “HF,” “we,” “us,” or “our”) operates a technology platform designed to facilitate post-interview feedback requests and record employer response behavior.

2. Platform Role, Neutrality, and Non-Agency

HonestFeedback is a neutral technology platform and acts solely as an intermediary facilitating voluntary communication between candidates and employers.

HonestFeedback:

• Is not an employer, recruiter, staffing firm, or hiring agent
• Does not participate in hiring or employment decisions
• Does not verify, endorse, evaluate, rank, or validate feedback content
• Does not guarantee responses, accuracy, fairness, or outcomes
• Does not influence employment decisions or hiring results

All employment-related decisions, communications, and outcomes remain exclusively between candidates and employers.

Nothing in these Terms creates any agency, partnership, joint venture, fiduciary, employment, or advisory relationship between HonestFeedback and any user of the Platform.

3. Eligibility and Accounts

You must be at least eighteen (18) years old to use the Platform.

By using the Platform, you represent and warrant that:

• The information you provide is accurate and truthful
• You are authorized to act on your own behalf or on behalf of the organization you represent
• Your use of the Platform complies with applicable laws

HonestFeedback reserves the right to suspend, restrict, or terminate access to the Platform at its sole discretion.

4. Feedback Requests and Responses

Candidates may submit feedback requests related to completed interview interactions.

Employers may choose to:

• Provide structured feedback
• Decline the request
• Take no action

Employers are under no obligation to respond to feedback requests.

HonestFeedback does not require, compel, or enforce employer responses. The Platform may encourage acknowledgment or response as a best practice intended to improve interview transparency and candidate experience.

Such encouragement does not create any legal duty, obligation, or expectation.

5. Public Display of Platform Signals and Response Activity

HonestFeedback may display aggregated, factual, and non-editorial data related to employer response behavior within the Platform.

Displayed signals may include whether a feedback request was:

• Responded to
• Declined
• Unanswered

These indicators constitute platform-generated activity signals derived from recorded user interactions with the Platform.

Platform signals are automatically generated from system-recorded events and do not represent opinions, evaluations, editorial commentary, rankings, or judgments regarding any employer, candidate, or organization.

HonestFeedback does not publish:

• Hiring decisions
• Candidate evaluations
• Individual feedback content
• Reviews, ratings, or commentary

Displayed information reflects platform activity only and should not be interpreted as statements regarding professionalism, hiring quality, legal compliance, workplace practices, or reputational standing.

Platform Metrics and Analytical Models

Certain platform indicators, including response activity rates, participation signals, the Follow-Through Index™, and other analytical measurements (collectively, “Platform Metrics”), may be generated through automated analysis of recorded platform events.

Platform Metrics are analytical outputs of the HonestFeedback system designed to provide informational insights regarding platform activity.

Platform Metrics do not constitute evaluations, rankings, endorsements, or assessments of any employer, candidate, or organization.

6. No Duty to Monitor

HonestFeedback has no obligation to monitor, review, investigate, verify, or remove platform activity, data, or content except as required by law.

However, HonestFeedback reserves the right, in its sole discretion, to restrict, remove, suspend, or limit access to any content, activity, or account that may violate these Terms or applicable law.

7. Prohibited Conduct

Users may not use the Platform to:

• Submit false, misleading, unlawful, defamatory, or abusive information
• Harass, retaliate against, intimidate, or pressure other users
• Attempt to manipulate platform metrics or signals
• Use the Platform for discriminatory or unlawful purposes
• Scrape, harvest, extract, or misuse platform data
• Interfere with the operation or integrity of the Platform

Violation of these rules may result in account suspension or termination.

8. User Content and Platform Intermediary Status

Users retain ownership of any content they submit to the Platform.

By submitting content, you grant HonestFeedback a non-exclusive, worldwide, royalty-free license to store, process, analyze, aggregate, anonymize, and display response-related platform data for purposes including:

• operating the Platform
• improving services
• generating aggregated insights
• displaying response behavior signals

HonestFeedback functions solely as an intermediary technology platform.

HonestFeedback does not create, control, verify, or endorse user-submitted content and is not the publisher or speaker of such content. Responsibility for submitted content rests solely with the user who submitted it.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONESTFEEDBACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• accuracy of information
• availability of services
• fitness for a particular purpose
• non-infringement
• reliability or completeness of platform activity

Use of the Platform is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONESTFEEDBACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

This includes, without limitation, damages arising from:

• employment-related disputes
• hiring decisions
• reliance on platform signals or metrics
• user-submitted content

IN ALL CASES, THE TOTAL LIABILITY OF HONESTFEEDBACK SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100 USD).

11. Indemnification

You agree to indemnify and hold HonestFeedback harmless from any claims, damages, losses, or legal expenses arising from:

• your use of the Platform
• content you submit
• employment or hiring disputes
• alleged reliance on platform information
• violation of these Terms

12. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration, rather than in court.

Arbitration shall be conducted by a recognized arbitration provider and shall take place in the state in which HonestFeedback, Inc. is incorporated, unless otherwise required by law.

You agree that arbitration will occur on an individual basis only, and you waive the right to participate in any class action, collective action, or representative proceeding.

Nothing in this section prevents either party from seeking appropriate injunctive relief where permitted by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the laws of the State in which HonestFeedback, Inc. is incorporated, without regard to conflict of law principles.

To the extent any dispute is permitted to be brought in court, such dispute shall be resolved exclusively in the state or federal courts located within that state, and you consent to the jurisdiction of such courts.

14. Changes to These Terms

HonestFeedback may update these Terms from time to time. Continued use of the Platform following any updates constitutes acceptance of the revised Terms.

Users are encouraged to review these Terms periodically.
